Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the website located at https://wpsuite.io/ (the “Site”), downloadable WP Suite WordPress plugins, WP Suite account and subscription features, documentation, platform services and related materials (collectively, the “Services”).
The Services are provided by Smart Cloud Solutions Inc. (“Smart Cloud Solutions,” “WP Suite,” “Company,” “we,” “us,” or “our”), a Delaware corporation with a business mailing office at 1221 Brickell Avenue, Suite 900, Miami, FL 33131, USA.
By accessing the Site, creating an account, downloading a plugin, connecting a WordPress site, purchasing a subscription or using any Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.
1. WP Suite services
WP Suite provides WordPress-native products and platform services for cloud-first WordPress projects. These may include:
- downloadable WordPress plugins;
- free and paid plugin features;
- WP Suite account, workspace, site-connection, subscription, configuration and license-management services;
- encrypted configuration and license material for connected sites;
- documentation, templates and deployment guidance;
- optional backend templates intended to be deployed into a customer’s own AWS account; and
- optional future infrastructure automation services.
WP Suite does not operate a customer’s WordPress site or customer AWS account by default. Customer-deployed WP Suite plugins and backend templates are generally installed, hosted, configured and operated by the customer in the customer’s own environment.
2. Accounts and site connections
Some features require a WP Suite account, workspace, subscription or connected WordPress site. You agree to provide accurate information and to keep your account credentials secure.
You are responsible for all activity under your account and for the configuration of any WordPress site, AWS account, identity provider, API, payment method, DNS record or third-party service connected to your use of WP Suite.
We may suspend or restrict access to account, subscription or platform features if we reasonably believe that your account is being misused, violates these Terms, creates security risk, or is associated with unpaid fees.
3. Licenses and plugin use
Some WP Suite plugins or plugin components may be distributed under open-source licenses. Those open-source license terms apply to the code covered by them.
Paid or platform-backed WP Suite features may require an active subscription, site connection, license file, encrypted configuration file or other entitlement. You may not bypass, disable, tamper with or misrepresent licensing, subscription, entitlement or access-control mechanisms.
Unless a specific license states otherwise, WP Suite grants you a limited, non-exclusive, non-transferable and revocable right to use the Services in accordance with these Terms and applicable documentation.
4. Customer-owned environments
Many WP Suite capabilities are designed for customer-owned environments. This means:
- your WordPress site remains under your control;
- your AWS account and deployed AWS resources remain under your control;
- your Cognito user pools, Identity Pools, API Gateway endpoints, Lambda functions, DynamoDB tables, S3 buckets, CloudFront distributions, Bedrock configuration, logs and related resources are your responsibility unless otherwise agreed in writing;
- you are responsible for configuring security, access control, permissions, backups, monitoring, logging, retention and compliance in your own environment;
- you are responsible for providing privacy notices, cookie notices and legal terms to your own users where required.
WP Suite is not responsible for data, content, users, workflows, integrations, security configuration or legal compliance inside customer-owned deployments except to the limited extent expressly agreed in a separate written agreement.
5. Encrypted configuration and license material
For Pro or platform-backed features, WP Suite may store and serve encrypted configuration material, license material, workspace/site identifiers, subscription state and related operational metadata. Connected WordPress sites may need to refresh these files periodically to keep licensed features active.
You are responsible for keeping your site connection, plugin configuration and environment secure. You must not share license files, encrypted configuration, secrets or access tokens except as permitted by the documentation.
6. Optional infrastructure automation
WP Suite may later offer optional infrastructure automation features. For example, a customer may deploy a template into its own AWS account that creates an assumable role. If authorized by the customer, WP Suite or a WP Suite automation backend may assume that role to create or update requested AWS resources such as Cognito user pools, external identity provider configuration, HTML email templates, AI-Kit backends or related stacks.
Such features, if offered, will be opt-in and may require additional terms, security controls, role permissions, external IDs, customer approvals and audit logging. You remain responsible for reviewing the requested permissions and the resources created in your AWS account.
You should not grant broader permissions than necessary. WP Suite may provide templates, recommendations or automation, but the customer remains responsible for the AWS account and resources it authorizes.
7. Payments and subscriptions
Paid features are billed through Stripe or another payment provider we identify. You agree to provide accurate billing information and authorize recurring charges where applicable.
Subscription fees, renewal terms, cancellation options, trial terms and refund rules are described on the Site or in the checkout flow. Unless required by law or stated otherwise, fees are non-refundable once charged.
We may update prices or packaging for future billing periods. If pricing changes affect your active subscription, we will provide notice where required.
8. Acceptable use
You agree not to:
- use the Services unlawfully or for harmful, abusive, deceptive or fraudulent activity;
- attempt to gain unauthorized access to WP Suite systems, accounts, other users’ environments or third-party services;
- interfere with, overload, scan or disrupt the Site or Services;
- reverse engineer closed-source platform components except where law expressly permits;
- remove copyright, trademark or license notices;
- use WP Suite to send spam, malware, phishing content or unlawful communications;
- use WP Suite in violation of applicable export control, sanctions, privacy, security or consumer-protection laws;
- misrepresent WP Suite, Smart Cloud Solutions or your relationship with us.
9. AI-assisted features
Some Services may include AI-assisted features, including AI routing, text generation, documentation search, chatbot experiences, metadata generation, support suggestions or infrastructure automation.
AI outputs may be incomplete, inaccurate or unsuitable for your use case. You are responsible for reviewing AI-assisted output before relying on it, publishing it, sending it to others or using it to configure infrastructure.
You must not use AI-assisted features in a way that violates applicable law, third-party rights, privacy obligations, security obligations or the terms of any underlying AI provider.
10. Third-party services
WP Suite may integrate with or rely on third-party services, including Amazon Web Services, Amazon Cognito, Amazon Bedrock, Stripe, HubSpot, Google Workspace, Google Tag Manager, CookieYes, Quo, Slack and other services.
Your use of third-party services may be subject to separate terms, privacy policies, fees, quotas, limits and security obligations. WP Suite is not responsible for third-party services outside our control.
11. Content and feedback
You retain ownership of content you provide to us, subject to the rights needed for us to operate the Services, respond to your requests, provide support, process subscriptions, route inquiries and improve the Services.
If you provide feedback, suggestions or ideas about WP Suite, you allow us to use them without restriction or compensation, unless we agree otherwise in writing.
12. Intellectual property
The Site, WP Suite brand, documentation, designs, platform services and non-open-source components are owned by Smart Cloud Solutions or its licensors and are protected by intellectual property laws.
These Terms do not transfer any ownership rights to you. You may use WP Suite only as permitted by these Terms, applicable plugin licenses and documentation.
13. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, accuracy and error-free operation.
We do not guarantee that WP Suite will meet your requirements, that any deployment will be error-free, that any AI output will be accurate, or that any configuration will be suitable for a regulated or high-risk use case without your own review.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, Smart Cloud Solutions and its officers, employees, contractors and suppliers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, business interruption or substitute services.
To the maximum extent permitted by law, our total liability for any claim related to the Site or Services will not exceed the greater of: (a) the amount you paid to WP Suite for the Services giving rise to the claim during the three months before the event giving rise to liability; or (b) USD 100.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
15. Indemnification
You agree to defend, indemnify and hold harmless Smart Cloud Solutions from claims, damages, liabilities, losses and expenses arising from your use of the Services, your customer-owned environment, your content, your violation of these Terms, your violation of law, or your infringement of third-party rights.
16. Changes to the Services or Terms
We may update, modify, suspend or discontinue parts of the Site or Services. We may also update these Terms from time to time. If changes are material, we may provide notice through the Site, email or another appropriate channel.
Your continued use of the Site or Services after changes become effective means you accept the updated Terms.
17. Termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms, fail to pay fees, create security risk, misuse the Services or if we discontinue a Service.
Sections that by their nature should survive termination will continue to apply, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, governing law and dispute provisions.
18. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Before filing a formal claim, you agree to contact us and try to resolve the issue informally. You can contact us at info@wpsuite.io.
To the extent permitted by law, disputes will be resolved individually and not as part of a class, collective or representative action. Some jurisdictions may provide non-waivable rights that remain available to you.
19. Export and sanctions
You agree to comply with applicable export control and sanctions laws. You may not use, export, re-export or transfer the Services in violation of U.S. export control laws or other applicable laws.
